GENERAL TERMS OF SALE

1. Except for particular and specific agreements, the prices indicated on our official pace lists and order confirmations are to be meant as net of V.A.T., transport charges, stamp duty and registration fax, customs duties for goods delivered 'ex works'.
2. The delivery times are always and only to be meant as approximate and indicative. The Buyer cannot therefore in any case ask for agreement cancellation or claim compensations for possible direct or indirect damages due to a delivery delay Orders can be shipped out in various, separate deliveries.
3. The goods travel at Buyer's risk. At receipt of goods. Buyer has to check, in presence of shipper, that packing is still in good order, that no damages occurred to goods, that no items are missing or substituted. Every damage or loss has to be immediately notified to shipper, by signing the delivery slip with reservation. Such reservation is to be confirmed in writing by registered Ietter, within 3 days after receipt of goods. The failed observance of this clause, frees the shipping company from any obligations.
   Without special instructions, the shipment shall be carried out by transport means chosen by Autoattrezzature Stanzani and the relevant cost shall be for the Buyer's charge.
4. Registered Ietter shall address possible contestations of the supplied goods to our head office in Baricella within 5 days from the goods receipt. Any contestation regarding the supply does not entitle the Buyer not to pay punctually and integrally the agreed price and its installments, as foreseen by art. 1462 C.C.
5. The payments shall be carried out in the ways and terms agreed in our order confirmation. In case of delayed payment, Autoattrezzature Stanzani has the right to suspend the deliveries or cancel the existing relationship, and charge the Buyer with the commercial interests, agreed herewith as 5% higher than the official discount rate per year.
6. Autoattrezzature Stanzani holds the property right on the material up to the integral performed price payment according to the art. 1523 and following. C.C. The price covering by bills or drafts is not to be meant as payment until their expiry. The failed payment even of a single installment, if exceeding the price eighth parts, shall result in the agreement cancellation with the right by Autoattrezzature Stanzani to demand immediately the sold material return.
7. Autoattrezzature Stanzani guarantees the own products for a period of 12 months, starting from the invoicing date. Inconveniences due to incorrect or non-conforming use, excessive strains, negligence, tampering and modifications are excluded from guarantee. Repairs, carried out by third parties, without our previous written agreement, as well the use of non-original spare parts, relieve Autoattrezzature Stanzani from any responsibility and claim coming from the guaran­tee, as well from reimbursement for assembling and disassembling expenses, or for subsequent damages. We are declining any responsibility for direct or indirect damages to persons and or objects, not included in our delivery. Ali parts returned to us for inspection and / or repair have to be sent to our factory free of transport charge for us.
8. For any controversy the competent Court will be the Bologna Court of Justice.
